Terms of Service

4.1 Account Creation

To use Bedrock, you must create an account by providing accurate and complete information. You are responsible for maintaining the confidentiality of your account credentials.

4.2 Account Security

You agree to:

• Keep your login credentials secure and confidential
• Notify us immediately of any unauthorized access to your account
• Accept responsibility for all activities that occur under your account

4.3 Account Accuracy

You must keep your account information accurate and up-to-date. We may suspend or terminate accounts with false or outdated information.

5.1 Subscription Plans

Bedrock offers subscription plans with varying features and usage quotas. Current plans and pricing are displayed in the App.

5.2 Free Tier

Free accounts are subject to usage quotas. Once quotas are exhausted, you must subscribe to a paid plan to continue creating inspections.

5.3 Payment Processing

Individual Plans: Payments for individual subscription plans are processed through the Apple App Store (iOS) or Google Play Store (Android). All purchases are subject to the payment terms of the respective platform:

Web Purchases: Subscriptions purchased directly through our website are processed by RevenueCat Web Billing and its payment processor, Stripe. By purchasing through the website, you authorize these processors to charge your selected payment method. Card and billing details are collected and processed by Stripe; Kami Labs does not receive or store your full card number.

Teams Plans: Organizations purchasing Teams plans pay directly to Kami Labs Ltd. under separate agreement terms. Payment terms, invoicing, and billing cycles for Teams plans are specified in your organization's service agreement.

5.4 Subscription Renewal

Individual Plans: Paid subscriptions automatically renew unless cancelled at least 24 hours before the end of the current billing period. You can manage subscriptions through your device's app store settings.

Web Subscriptions: Subscriptions purchased through the website renew automatically each billing period unless cancelled. You can manage, change, or cancel a web subscription at any time through the customer portal, accessible from the “Manage subscription” option in your account.

Teams Plans: Renewal terms are specified in your organization's service agreement with Kami Labs.

5.5 Refunds

Individual Plans: Refund requests for app store purchases are handled by Apple or Google according to their respective refund policies.

Web Purchases: Refund requests for subscriptions purchased through the website are handled by Kami Labs in accordance with the policies of our payment processor. Contact us at info@bedrockinspection.com to request a refund. Refunds may be issued at our discretion for unused service periods.

Teams Plans: Refund requests for direct payments to Kami Labs are handled on a case-by-case basis. Contact us at info@bedrockinspection.com to request a refund. Refunds may be issued at our discretion, typically within thirty (30) days of the original payment for unused service periods.

5.6 Price Changes

We reserve the right to change subscription pricing. Price changes will not affect current billing periods and you will be notified before any increase takes effect.

6.1 Permitted Use

You may use Bedrock for lawful purposes related to property inspection and reporting.

6.2 Prohibited Conduct

You agree NOT to:

• Use the Service for any unlawful purpose
• Upload content that is defamatory, obscene, or violates third-party rights
• Attempt to gain unauthorized access to our systems or other users' accounts
• Interfere with or disrupt the Service or servers
• Reverse engineer, decompile, or disassemble any part of the Service, except to the extent this restriction is prohibited by applicable law
• Use automated scripts or bots to access the Service
• Share your account credentials with others
• Resell or redistribute the Service without authorization
• Upload malicious code, viruses, or harmful content
• Use the Service to harass, abuse, or harm others
• Circumvent usage quotas or subscription restrictions

6.3 Professional Standards

You are solely responsible for ensuring your inspection reports and professional conduct comply with applicable licensing requirements, standards of practice, and regulations in your jurisdiction.

7.1 Ownership

You retain ownership of all content you create or upload to Bedrock, including inspection reports, photos, videos, and notes ("User Content").

7.2 License Grant

By uploading User Content, you grant Kami Labs a non-exclusive, worldwide, royalty-free license to store, process, and display your content solely for the purpose of providing and improving the Service. This license terminates when you delete your content or account. Kami Labs may use usage, diagnostic, and session-replay data, as described in our Privacy Policy, to improve the Service. Kami Labs does not use User Content, client or property information, or Google Calendar data to train, develop, or improve its own artificial intelligence or machine learning models, and applies the controls our AI providers make available to prevent their use for general model training, as described in Section 3.2 of the Privacy Policy. You retain all rights to your underlying inspection data.

7.3 AI Processing

You acknowledge that your User Content (including transcriptions and inspection notes) may be processed by artificial intelligence services to generate polished text, summaries, and recommendations. AI-generated outputs are provided as drafts for your review and editing, and you are responsible for the accuracy of final reports.

7.4 Content Responsibility

You are solely responsible for your User Content, including:

• Ensuring accuracy of inspection findings
• Obtaining necessary consents to photograph or record properties
• Complying with privacy laws when collecting client information
• Not uploading content that infringes third-party rights

7.5 Content Removal

We may remove User Content that violates these Terms or applicable laws, without prior notice.

7.6 Imported Templates and Comment Libraries

If you upload previously created inspection report templates, comment libraries, or other materials to the Service, you represent and warrant that you have full ownership or authorization to upload such materials, and that doing so does not infringe any third-party intellectual property rights. By uploading such materials, you grant Kami Labs a limited license to process and store them solely for the purpose of providing the Service to you. You accept full liability for any third-party claims arising from materials you upload, and Section 12 applies to any such claim.

8.1 Our Rights

Bedrock, including its design, features, code, trademarks, and documentation, is owned by Kami Labs Ltd. and protected by intellectual property laws. These Terms do not grant you any rights to our intellectual property except the limited license to use the Service. The visual design, layout, formatting, and branding elements of reports generated through the Service, including template structure, styling, and Kami Labs trademarks, remain the intellectual property of Kami Labs Ltd. Inspectors are granted a limited, non-exclusive license to use these elements as embodied in reports generated through their account. This license continues after termination for reports finalized while your account was in good standing, so that you may retain, reproduce, and deliver those reports as your professional obligations require. The underlying inspection findings, observations, and professional conclusions contained within finalized reports remain the work product of the inspector. You may not claim, register, or assert any trademark, patent, copyright, or other proprietary right in the Service, its features, or its methodologies. Nothing in this Section limits your rights in your User Content under Section 7.1.

8.2 AI-Generated Output

AI-generated content produced by the Service, including observation descriptions, implications, recommendations, and summaries, is provided as a drafting aid for your use. Kami Labs does not claim ownership over inspection reports you finalize and deliver to your clients. However, all underlying methodologies, pipelines, prompt architectures, and AI processing systems used to generate such content remain the exclusive intellectual property of Kami Labs Ltd.

8.3 Feedback

If you provide suggestions, ideas, or feedback about the Service, you grant us the right to use that feedback without restriction or compensation.

9.1 Integrations

Bedrock integrates with third-party services (Google Calendar, payment processors, AI services, etc.). Your use of these integrations is subject to the terms and privacy policies of those third parties.

9.2 Third-Party Links

The Service may contain links to third-party websites. We are not responsible for the content or practices of external sites.

10.1 Service Provided "As Is"

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

10.2 No Professional Advice

Bedrock is a tool to assist inspection professionals. We do not provide professional inspection advice, training, or certification. AI-generated content is produced from the information you provide, together with reference material we maintain, and is placed in your draft for you to review and edit. Kami Labs makes no warranty that AI-generated content will be accurate, complete, or free from error. You must review and verify all AI-generated content before finalizing a report, and you remain solely responsible for the professional accuracy of all finalized reports.

10.3 No Guarantee of Availability

We do not guarantee that the Service will be uninterrupted, error-free, or secure. We may modify, suspend, or discontinue features at any time.

10.4 Data Loss

While we implement reasonable safeguards, we are not responsible for data loss. You are encouraged to maintain your own backups of critical information.

10.5 Beta and Preview Features

Features identified as beta, preview, early access, or experimental are provided for evaluation, may be changed or withdrawn without notice, and may be less reliable than generally available features. They are excluded from any commitment in these Terms and are used at your own risk.

11.1 Exclusion of Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW, KAMI LABS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

11.2 Cap on Liability

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE TOTAL FEES PAID FOR THE SERVICE, WHETHER TO US OR THROUGH AN APP STORE, IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED CANADIAN DOLLARS (CAD $100), WHICHEVER IS GREATER.

11.3 Basis of the Bargain

THE LIMITATIONS IN THIS SECTION REFLECT THE ALLOCATION OF RISK BETWEEN THE PARTIES AND ARE AN ESSENTIAL BASIS OF THE BARGAIN BETWEEN US.

13.1 Termination by You

You may stop using the Service and delete your account at any time through the App settings.

13.2 Termination by Us

We may suspend or terminate your access to the Service at any time, with or without cause, including for:

• Violation of these Terms
• Fraudulent or illegal activity
• Non-payment of subscription fees
• Extended periods of inactivity

13.3 Effect of Termination

Upon termination:

• Your right to use the Service ceases immediately
• We may delete your account and User Content as described in Section 5 of the Privacy Policy. If you delete your account yourself, deletion is immediate. You are responsible for exporting and keeping copies of any reports you need before your account is deleted (see Section 10.4)
• Provisions that by their nature should survive (including Sections 7.2, 7.6, 8, 10, 11, 12, 15, 16 and 17) will remain in effect

15.1 Governing Law

These Terms are governed by the laws of British Columbia, Canada, without regard to conflict of law principles.

15.2 Dispute Resolution

Any disputes arising from these Terms or the Service shall be resolved in the courts of British Columbia, Canada. You consent to the exclusive jurisdiction of these courts.

15.3 Informal Resolution

Before initiating formal proceedings, you agree to contact us and attempt to resolve disputes informally for at least thirty (30) days.

16.1 Acknowledgement

These Terms are between you and Kami Labs Ltd. only, and not with Apple Inc. or Google LLC. Kami Labs, not the app store, is solely responsible for the Service and its content.

16.2 Scope of License

Your license to use the Bedrock mobile application is a non-transferable license to use it on any device you own or control, as permitted by the Usage Rules in the applicable app store terms of service.

16.3 Maintenance and Support

Kami Labs is solely responsible for providing maintenance and support for the Service. Apple and Google have no obligation to furnish any maintenance or support.

16.4 Warranty

In the event of any failure of the application to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price of the application to you. To the maximum extent permitted by law, Apple has no other warranty obligation whatsoever with respect to the application. Any other claims, losses, liabilities, damages, costs or expenses attributable to a failure to conform to a warranty are the sole responsibility of Kami Labs.

16.5 Product Claims

Kami Labs, not Apple or Google, is responsible for addressing any claims relating to the Service, including product liability claims, any claim that the Service fails to conform to a legal or regulatory requirement, and claims arising under consumer protection, privacy, or similar legislation.

16.6 Intellectual Property Claims

In the event of a third-party claim that the Service, or your use of it, infringes that third party's intellectual property rights, Kami Labs, not Apple or Google, is solely responsible for the investigation, defence, settlement and discharge of that claim.

16.7 Third-Party Beneficiary

Apple Inc. and its subsidiaries, and Google LLC and its affiliates, are third-party beneficiaries of these Terms, and upon your acceptance each has the right to enforce these Terms against you as a third-party beneficiary.

16.8 Legal Compliance

You represent that you are not located in a country subject to an applicable government embargo, and that you are not listed on any applicable list of prohibited or restricted parties.

17.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Kami Labs regarding the Service. Where you have a separate written service agreement with Kami Labs for a Teams plan, that agreement governs in the event of a conflict with these Terms on the matters it addresses.

17.2 Severability

If any provision of these Terms is found unenforceable, the remaining provisions remain in effect.

17.3 Waiver

Our failure to enforce any right or provision does not constitute a waiver of that right.

17.4 Assignment

You may not assign your rights under these Terms. We may assign our rights to any affiliate or successor.

17.5 No Agency

Nothing in these Terms creates a partnership, employment, or agency relationship between you and Kami Labs.

17.6 Force Majeure

Neither party is liable for any failure or delay in performance caused by events beyond its reasonable control, including natural disasters, war, civil unrest, labour disputes, failures of telecommunications or hosting providers, and government action. This does not excuse any obligation to pay amounts due.

17.7 Notices

Notices to you may be given by email to the address on your account or by in-app notification, and are deemed received on the day sent. Notices to Kami Labs must be sent to info@bedrockinspection.com and are deemed received on the next business day.
