Terms of Service

4.1 Account Creation

To use Bedrock, you must create an account by providing accurate and complete information. You are responsible for maintaining the confidentiality of your account credentials.

4.2 Account Security

You agree to:

• Keep your login credentials secure and confidential
• Notify us immediately of any unauthorized access to your account
• Accept responsibility for all activities that occur under your account

4.3 Account Accuracy

You must keep your account information accurate and up-to-date. We may suspend or terminate accounts with false or outdated information.

5.1 Subscription Plans

Bedrock offers subscription plans with varying features and usage quotas. Current plans and pricing are displayed in the App.

5.2 Free Tier

Free accounts are subject to usage quotas. Once quotas are exhausted, you must subscribe to a paid plan to continue creating inspections.

5.3 Payment Processing

Individual Plans: Payments for individual subscription plans are processed through the Apple App Store (iOS) or Google Play Store (Android). All purchases are subject to the payment terms of the respective platform:

Web Purchases: Subscriptions purchased directly through our website are processed by RevenueCat Web Billing and its payment processor, Stripe. By purchasing through the website, you authorize these processors to charge your selected payment method. Card and billing details are collected and processed by Stripe; Kami Labs does not receive or store your full card number.

Teams Plans: Organizations purchasing Teams plans pay directly to Kami Labs Ltd. under separate agreement terms. Payment terms, invoicing, and billing cycles for Teams plans are specified in your organization's service agreement.

5.4 Subscription Renewal

Individual Plans: Paid subscriptions automatically renew unless cancelled at least 24 hours before the end of the current billing period. You can manage subscriptions through your device's app store settings.

Web Subscriptions: Subscriptions purchased through the website renew automatically each billing period unless cancelled. You can manage, change, or cancel a web subscription at any time through the customer portal, accessible from the “Manage subscription” option in your account.

Teams Plans: Renewal terms are specified in your organization's service agreement with Kami Labs.

5.5 Refunds

Individual Plans: Refund requests for app store purchases are handled by Apple or Google according to their respective refund policies.

Web Purchases: Refund requests for subscriptions purchased through the website are handled by Kami Labs in accordance with the policies of our payment processor. Contact us at info@bedrockinspection.com to request a refund. Refunds may be issued at our discretion for unused service periods.

Teams Plans: Refund requests for direct payments to Kami Labs are handled on a case-by-case basis. Contact us at info@bedrockinspection.com to request a refund. Refunds may be issued at our discretion, typically within thirty (30) days of the original payment for unused service periods.

5.6 Price Changes

We reserve the right to change subscription pricing. Price changes will not affect current billing periods and you will be notified before any increase takes effect.

6.1 Permitted Use

You may use Bedrock for lawful purposes related to property inspection and reporting.

6.2 Prohibited Conduct

You agree NOT to:

• Use the Service for any unlawful purpose
• Upload content that is defamatory, obscene, or violates third-party rights
• Attempt to gain unauthorized access to our systems or other users' accounts
• Interfere with or disrupt the Service or servers
• Reverse engineer, decompile, or disassemble any part of the Service
• Use automated scripts or bots to access the Service
• Share your account credentials with others
• Resell or redistribute the Service without authorization
• Upload malicious code, viruses, or harmful content
• Use the Service to harass, abuse, or harm others
• Circumvent usage quotas or subscription restrictions

6.3 Professional Standards

You are solely responsible for ensuring your inspection reports and professional conduct comply with applicable licensing requirements, standards of practice, and regulations in your jurisdiction.

7.1 Ownership

You retain ownership of all content you create or upload to Bedrock, including inspection reports, photos, videos, and notes ("User Content").

7.2 License Grant

By uploading User Content, you grant Kami Labs a non-exclusive, worldwide, royalty-free license to store, process, and display your content solely for the purpose of providing and improving the Service. This license terminates when you delete your content or account.

7.3 AI Processing

You acknowledge that your User Content (including transcriptions and inspection notes) may be processed by artificial intelligence services to generate polished text, summaries, and recommendations. AI-generated outputs are provided as drafts for your review and editing, and you are responsible for the accuracy of final reports.

7.4 Content Responsibility

You are solely responsible for your User Content, including:

• Ensuring accuracy of inspection findings
• Obtaining necessary consents to photograph or record properties
• Complying with privacy laws when collecting client information
• Not uploading content that infringes third-party rights

7.5 Content Removal

We may remove User Content that violates these Terms or applicable laws, without prior notice.

8.1 Our Rights

Bedrock, including its design, features, code, trademarks, and documentation, is owned by Kami Labs Ltd. and protected by intellectual property laws. These Terms do not grant you any rights to our intellectual property except the limited license to use the Service.

8.2 Feedback

If you provide suggestions, ideas, or feedback about the Service, you grant us the right to use that feedback without restriction or compensation.

9.1 Integrations

Bedrock integrates with third-party services (Google Calendar, payment processors, AI services, etc.). Your use of these integrations is subject to the terms and privacy policies of those third parties.

9.2 Third-Party Links

The Service may contain links to third-party websites. We are not responsible for the content or practices of external sites.

10.1 Service Provided "As Is"

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

10.2 No Professional Advice

Bedrock is a tool to assist inspection professionals. We do not provide professional inspection advice, training, or certification. AI-generated content is provided as a drafting aid and may contain errors, and you must review and verify all content before publishing reports.

10.3 No Guarantee of Availability

We do not guarantee that the Service will be uninterrupted, error-free, or secure. We may modify, suspend, or discontinue features at any time.

10.4 Data Loss

While we implement reasonable safeguards, we are not responsible for data loss. You are encouraged to maintain your own backups of critical information.

11.1 Exclusion of Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW, KAMI LABS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

11.2 Cap on Liability

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED CANADIAN DOLLARS (CAD $100), WHICHEVER IS GREATER.

11.3 Basis of the Bargain

THE LIMITATIONS IN THIS SECTION REFLECT THE ALLOCATION OF RISK BETWEEN THE PARTIES AND ARE AN ESSENTIAL BASIS OF THE BARGAIN BETWEEN US.

13.1 Termination by You

You may stop using the Service and delete your account at any time through the App settings.

13.2 Termination by Us

We may suspend or terminate your access to the Service at any time, with or without cause, including for:

• Violation of these Terms
• Fraudulent or illegal activity
• Non-payment of subscription fees
• Extended periods of inactivity

13.3 Effect of Termination

Upon termination:

• Your right to use the Service ceases immediately
• We may delete your account and User Content
• Provisions that by their nature should survive (including Sections 7.2, 10, 11, 12, and 15) will remain in effect

15.1 Governing Law

These Terms are governed by the laws of British Columbia, Canada, without regard to conflict of law principles.

15.2 Dispute Resolution

Any disputes arising from these Terms or the Service shall be resolved in the courts of British Columbia, Canada. You consent to the exclusive jurisdiction of these courts.

15.3 Informal Resolution

Before initiating formal proceedings, you agree to contact us and attempt to resolve disputes informally for at least thirty (30) days.

16.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Kami Labs regarding the Service.

16.2 Severability

If any provision of these Terms is found unenforceable, the remaining provisions remain in effect.

16.3 Waiver

Our failure to enforce any right or provision does not constitute a waiver of that right.

16.4 Assignment

You may not assign your rights under these Terms. We may assign our rights to any affiliate or successor.

16.5 No Agency

Nothing in these Terms creates a partnership, employment, or agency relationship between you and Kami Labs.
